Acceptance of Terms
By accessing or using the OpsDesk AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service. OpsDesk AI Inc. ("Company," "we," "us," or "our") reserves the right to update these Terms at any time without prior notice.
Service Description
OpsDesk AI provides a comprehensive DevOps monitoring and observability platform that includes:
- Automated infrastructure discovery and asset management
- Real-time service monitoring and performance analytics
- AI-powered predictive insights and recommendations
- Custom dashboards and alerting systems
- Integration with popular DevOps tools and platforms
The Service is provided on a subscription basis with different tiers and features as described on our pricing page.
Account Registration and Security
To use our Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your contact information remains current
You must be at least 18 years old to create an account. Accounts registered by automated means are prohibited.
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Use the Service to monitor infrastructure you do not own or have authorization to monitor
- Attempt to gain unauthorized access to other users' accounts or data
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to transmit malicious code, viruses, or harmful content
- Reverse engineer, decompile, or attempt to extract source code
- Resell, redistribute, or sublicense the Service without written permission
Data Ownership and Processing
You retain ownership of all data you provide to or generate through the Service ("Customer Data"). By using the Service, you grant us a limited license to:
- Process Customer Data to provide the Service
- Use aggregated, anonymized data to improve our platform
- Generate insights and recommendations based on your data
- Store and backup your data for service continuity
We will not access, use, or disclose Customer Data except as necessary to provide the Service or as required by law.
Subscription Plans and Billing
OpsDesk AI offers various subscription plans with different features and usage limits:
- Starter Plan: Basic monitoring for up to 50 devices
- Professional Plan: Advanced features for up to 500 devices
- Enterprise Plan: Unlimited devices with custom integrations
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.
Service Level Agreement
We strive to maintain high availability and performance standards:
- Uptime Commitment: 99.9% monthly uptime for paid plans
- Response Times: API responses within 200ms for 95% of requests
- Support Response: Initial response within 24 hours for paid plans
- Data Retention: Minimum 13 months of historical data
Service credits may be available for significant downtime as outlined in our SLA documentation.
Intellectual Property Rights
The Service and its original content, features, and functionality are owned by OpsDesk AI Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Our trademarks and trade dress may not be used without our prior written consent. You may not remove, alter, or obscure any proprietary notices on the Service.
Third-Party Integrations
The Service integrates with various third-party platforms and services. Your use of these integrations is subject to:
- The respective third party's terms of service and privacy policies
- Any additional terms we may specify for specific integrations
- Your own agreements with the third-party providers
We are not responsible for the availability, functionality, or security of third-party services.
Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We implement appropriate technical and organizational measures to protect your data, including:
- Encryption of data in transit and at rest
- Regular security audits and penetration testing
- Access controls and authentication mechanisms
- Compliance with applicable data protection regulations
Termination and Suspension
Either party may terminate these Terms at any time:
- By You: Cancel your subscription through your account settings
- By Us: For violation of these Terms, non-payment, or at our discretion with notice
Upon termination, your access to the Service will cease, and we may delete your data after a reasonable retention period. You remain responsible for all charges incurred before termination.
Disclaimers and Limitations
The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including:
- Merchantability and fitness for a particular purpose
- Non-infringement of third-party rights
- Uninterrupted or error-free operation
- Accuracy or completeness of data or insights
Your use of the Service is at your own risk. We do not warrant that the Service will meet your specific requirements.
Limitation of Liability
To the maximum extent permitted by law, OpsDesk AI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:
- Loss of profits, data, or business opportunities
- Service interruptions or security breaches
- Third-party actions or integrations
- Any damages exceeding the amount paid for the Service in the preceding 12 months
Indemnification
You agree to indemnify and hold harmless OpsDesk AI Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from:
- Your use of the Service in violation of these Terms
- Your violation of any third-party rights
- Any content or data you provide through the Service
- Your negligent or wrongful conduct
Dispute Resolution
Any disputes arising from these Terms or your use of the Service will be resolved through:
- Informal Resolution: Good faith negotiations for 30 days
- Binding Arbitration: Individual arbitration under applicable arbitration rules
- Class Action Waiver: No class actions or representative proceedings
- Governing Law: Laws of Ontario, Canada
General Provisions
These Terms constitute the entire agreement between you and OpsDesk AI Inc. regarding the Service. Additional provisions:
- If any provision is found unenforceable, the remainder remains in effect
- Our failure to enforce any right does not waive that right
- These Terms may not be assigned by you without our written consent
- Headings are for convenience only and do not affect interpretation
